TITLE I. GENERAL PROVISIONS

Chapter 1. Purpose and Scope of Application

1.1 Purpose

These Terms and Conditions of Service (hereinafter, the "Terms") are intended to govern the access to and use of the technology platform called Ancuria™ Inteligencia Inmobiliaria (hereinafter, "Ancuria", the "Platform" or the "Service"), owned by James Marcus Patman (hereinafter, the "Owner"), as well as to establish the rights, obligations, scopes and limitations applicable to any individual or legal entity that accesses, registers on or uses, in any modality, said Platform.

1.2 Scope

These Terms are mandatory and binding on every User, understood as Real-Estate Agents, Real-Estate Developers, Companies, Collaborators and any third party that interacts with the Platform, whether directly through the registration of an account, or indirectly through interaction with content, indicators, Artificial Intelligence agents or any other functionality generated, hosted or distributed through Ancuria.

1.3 Legal nature of the document

This instrument constitutes an adhesion contract under the commercial and consumer protection legislation applicable in the United Mexican States, whose clauses have been unilaterally pre-established by the Owner, without this exempting the latter from the obligations of clarity, transparency and fairness required by the applicable legal framework.

1.4 Relationship to other documents

These Terms must be interpreted jointly and inseparably with the Privacy Notice, the Acceptable Use Policy, the Service Level Agreements (SLAs) where applicable, and any annexes, complementary policies or specific conditions the Owner publishes or communicates to Users. In case of contradiction between these Terms and a complementary document specific to a particular module or service, the provisions of the complementary document shall prevail solely regarding that module or service, and these Terms shall govern supplementarily in everything not provided for.

1.5 Exclusion of other legal relationships

Acceptance of these Terms does not create an employment, partnership, agency, representation, franchise or formal commercial brokerage relationship between the Owner and the User, except in those cases expressly agreed through a separate, written contractual instrument.

1.6 Consequences of non-compliance

Non-compliance with any of the provisions contained in this Chapter may give rise, at the Owner's reasonable discretion, to the temporary or definitive suspension of the User's access to the Platform, without prejudice to the legal actions that may correspond pursuant to the Title on Liability and Termination to be developed in subsequent deliverables.

Chapter 2. Definitions

For purposes of a uniform, consistent and unambiguous interpretation of these Terms, the following concepts shall have the meaning indicated below. The definitions contained here shall apply to the entirety of the document, including future deliverables, unless expressly indicated otherwise.

2.17 Rules of interpretation

The terms defined in this Chapter may be used interchangeably in singular or plural, and in masculine, feminine or neutral gender, without this altering their meaning. Chapter and Section headings are included for reference purposes only and shall have no interpretive effect on the substantive content of the clauses.

TITLE II. ACCEPTANCE AND VALIDITY

Chapter 3. Acceptance of the Terms

3.1 Legal objective

To establish the mechanism through which the User manifests their express, informed and unvitiated consent to the entirety of these Terms, as an indispensable condition for accessing the Platform.

3.2 Acceptance mechanism

Acceptance of these Terms shall be perfected through an unequivocal act of manifestation of will, which may consist, by way of illustration but not limitation, of: (i) activating a check box ("checkbox") during the registration process; (ii) clicking an express acceptance button; or (iii) continued use of the Platform following notification of these Terms or their amendments, under the terms provided by Chapter 4.

3.3 Effects of acceptance

Once acceptance is perfected pursuant to the preceding section, these Terms shall constitute a binding and mandatory agreement between the User and the Owner, producing full legal effects under the applicable commercial and civil legislation regarding formation of consent and contracts executed by electronic means.

3.4 User's declaration

By accepting these Terms, the User declares under penalty of perjury that: (i) they have read and fully understood their content; (ii) they have legal capacity to be bound under the terms of Chapter 8; (iii) the information they provide during registration is truthful, accurate and up to date; and (iv) they accept being subject to the entirety of the provisions contained herein, including those regarding limitation of liability and dispute resolution to be developed in later deliverables.

3.5 Exceptions

Those modules, features or services requiring additional specific conditions shall be subject, in addition to these Terms, to the specific acceptance of said specific conditions, without acceptance of the latter exempting the User from compliance with these Terms.

3.6 Consequences of non-compliance

Failure to expressly accept these Terms shall prevent the applicant from completing their registration and, therefore, from accessing the Platform. Use of the Platform without having completed the acceptance mechanism shall be understood, for all legal purposes, as tacit and unequivocal acceptance of these Terms.

Chapter 4. Validity, Amendments and Notifications

4.1 Entry into force

These Terms shall enter into force on the date stated on the cover page of this document and shall remain in force indefinitely, without prejudice to the amendments the Owner makes pursuant to this Chapter, and until replaced by a later version duly notified.

4.2 Power to amend

The Owner reserves the right to modify, update or supplement the content of these Terms at any time, whether to: (i) adapt them to changes in applicable legislation; (ii) incorporate new modules, features or Plans; (iii) address requests from competent authorities; or (iv) improve the clarity or precision of their provisions.

4.3 Notification mechanism

Every material amendment to these Terms shall be notified to the User through at least one of the following means: (i) a notice within the Platform itself; (ii) email to the address registered by the User; or (iii) publication of the updated version on the Owner's website, visibly indicating its last-update date.

4.4 Courtesy period and tacit acceptance

Unless the amendment derives from a legal requirement of immediate application, the Owner shall grant a minimum period of [POR DEFINIR] calendar days, counted from the notification, for the User to express their disagreement. Once that period has elapsed without the User having exercised the right provided in section 4.5, they shall be deemed to have tacitly accepted the amendments, and continued use of the Platform shall constitute proof of such acceptance.

4.5 Right of non-acceptance

If the User does not agree with the notified amendments, they may exercise their right to cancel their account on the Platform under the terms to be established in the Title on Termination, without this generating any penalty other than the consideration already accrued as of the date of cancellation.

4.6 Version control

Each version of these Terms must be identified with a version number and effective date, the Owner being obliged to keep a history of previous versions for audit purposes, Due Diligence processes and handling of authority requests.

4.7 Consequences of non-compliance

The Owner's failure to notify material amendments pursuant to the mechanisms provided herein may result in those amendments being deemed not applicable to the affected User, without prejudice to the validity of the rest of the document.

TITLE III. DESCRIPTION OF THE SERVICE

Chapter 5. Nature of the Platform

5.1 Technological nature

Ancuria is a software-as-a-service ("SaaS") platform, technological in nature, providing market intelligence, automation and artificial intelligence tools oriented to the real-estate sector, without this implying that the Owner acts as a real-estate agent, broker, intermediary, investment advisor, financial institution or public notary.

5.2 Scope of the technological intermediation

The Owner does not participate as a party in the purchase-sale, lease, promise, co-brokerage or any other real-estate legal transactions managed, displayed or facilitated through the Platform. Such legal transactions are executed exclusively among the Users, Real-Estate Agents and third parties involved, they being the only ones responsible for the lawfulness, truthfulness and performance of those transactions.

5.3 Deterministic Calculation Engine

Every financial, mathematical or statistical operation performed within the Platform (including mortgage, return-on-investment, capital-appreciation and payment-plan calculations) is executed exclusively through the Owner's deterministic Calculation Engine. The Artificial Intelligence Agents integrated into the Platform do not execute those calculations; their function is limited to interpreting, explaining or presenting in natural language the results generated by the Calculation Engine.

5.4 Informational character of the Indicators

The Market Indicators generated by the Platform are exclusively informational in nature and supportive of decision-making. In no case do they constitute financial, tax, legal or personalized investment advice, nor a guarantee of performance, capital appreciation or any result, as will be detailed more fully in the Title on Liability to be developed in later deliverables.

5.5 Availability of the Service

The Owner shall endeavor to maintain the Platform's continuous availability; however, it does not guarantee uninterrupted availability, the User acknowledging that there may be scheduled interruptions for maintenance, or unscheduled interruptions due to technical, connectivity or Force Majeure causes.

Chapter 6. Modules and Features

6.1 Modular structure

The Platform is composed of functional modules that are independent yet interoperable with each other, whose availability for each User shall depend on the Plan engaged pursuant to Chapter 7. The Owner may incorporate, modify, suspend or discontinue specific modules without this implying a material amendment of these Terms, unless such incorporation or discontinuation materially affects the conditions of an already engaged Plan.

6.2 Illustrative catalog of modules

By way of illustration but not limitation, the Platform may include the following modules: customer relationship management (real-estate CRM); conversational artificial intelligence agents; automation of sales, after-sales and customer-service processes; real-estate Marketplace and co-brokerage tools; generation of comparatives and Market Indicators; document and file management; real-estate development management; property publication and promotion; prospect management; electronic signature; dashboards and business intelligence; financial and return-on-investment analysis; recommendation engine; and integrations with Third-Party technology services through application programming interfaces (APIs).

6.3 Technological flexibility clause

The catalog indicated in the preceding section is not exhaustive. The Owner may incorporate additional modules deriving from the Platform's technological evolution without needing to materially amend the structure of these Terms, those modules remaining subject, automatically and supplementarily, to the general provisions contained herein, as long as no specific particular conditions are issued.

6.4 Third-Party integrations

When a module requires integration with Third-Party services (including, without limitation, payment, authentication, electronic signature or cloud infrastructure providers), the use of that module shall additionally be subject to the corresponding Third Party's terms and policies, for which the Owner is not responsible, without prejudice to its obligation to diligently select those providers.

6.5 Consequences of non-compliance

Misuse of any module, contrary to its purpose or to the usage instructions published by the Owner, may give rise to suspension of access to that particular module, without this necessarily implying suspension of the Account in its entirety, save in the cases provided in the Title on Termination.

Chapter 7. Service Levels and Subscription Plans

7.1 Tiered structure

The Platform is offered under a tiered and cumulative Plan scheme, in which each higher-level Plan includes the features of the immediately preceding Plan or Plans, adding features of greater complexity or scope.

7.2 Catalog of Plans

Without prejudice to the specific commercial conditions (prices, terms and promotions) being governed by the Title on Payments and Subscriptions to be developed in later deliverables, the Plans in force as of the date of this document are the following:

a) Basic Plan: Free access level, oriented to property publication and introductory features of the Platform.

b) Assistant Plan: Includes the Basic Plan's features and adds the autonomous end-customer service Artificial Intelligence Agent, as well as the Real-Estate Agent's personal portfolio assistant.

c) Closing Plan: Includes the Assistant Plan's features and adds the market-indicator advisory tool for the Real-Estate Agent's in-person use with their client.

d) Intelligence Plan: Includes the Closing Plan's features and adds access to the historical and comparative consultation of Market Indicators by zone or neighborhood.

7.3 Amendment of the Plan catalog

The Owner may modify the content, scope or naming of the Plans indicated in the preceding section, provided such amendment is notified pursuant to Chapter 4 and does not retroactively affect the conditions already engaged and paid by a User regarding an ongoing billing period.

7.4 Non-exhaustive nature of the Plan reference

The description of Plans contained in this Chapter is exclusively for descriptive purposes regarding the Service's architecture. The economic conditions, billing cycles, cancellation and refund policies shall be governed specifically and in detail in the Title on Payments and Subscriptions.

TITLE IV. REGISTRATION AND USER ACCOUNTS

Chapter 8. Legal Capacity and Eligibility

8.1 Legal objective

To establish the minimum legal capacity requirements every person must meet to register on and use the Platform, safeguarding the validity of the legal acts deriving from such use.

8.2 Capacity of individuals

Only individuals who, under the Federal Civil Code and the applicable local civil legislation, have full capacity to hold and exercise rights — that is, who have reached the age of majority and are not subject to a state of interdiction or another legal limitation on their capacity to exercise rights — may register as Users.

8.3 Capacity of legal entities

When the User is a legal entity, it must register through an individual holding sufficient powers of legal representation, whether as administrator, attorney-in-fact or duly accredited legal representative, that individual being jointly and severally responsible for the truthfulness of such representation before the Owner.

8.4 Professional eligibility of Real-Estate Agents

At its discretion, and without this constituting an exhaustive verification obligation, the Owner may request that Real-Estate Agents evidence their professional activity through trade-association membership certificates (such as the Mexican Association of Real Estate Professionals, "AMPI"), professional licenses, municipal or state permits, or other equivalent documentation, without the absence of such membership constituting, by itself, an automatic ground for registration rejection, save express legal provision to the contrary applicable in the Agent's jurisdiction.

8.5 Declaration of truthfulness

The User declares, under penalty of perjury, that the entirety of the information provided during their registration and during continued use of the Platform is truthful, accurate, current and duly updated, assuming exclusive responsibility for any inaccuracy, omission or falseness in such information.

8.6 Exceptions and territorial restrictions

The Owner may restrict, limit or condition the registration of Users from certain jurisdictions when compliance with legal provisions, international sanctions or internal risk-management policies so requires, without this generating any right to indemnification in favor of the rejected applicant.

8.7 Consequences of non-compliance

Falseness, inaccuracy or omission in the declarations referred to in this Chapter shall entitle the Owner to immediately suspend or cancel the User's Account, without any liability for the Owner, and without prejudice to the civil or criminal legal actions that correspond under applicable legislation.

Chapter 9. Registration Process

9.1 Registration mechanism

Access to the Platform requires prior creation of an Account, by filling out a registration form that shall request, at minimum, the identification, contact and, where applicable, professional accreditation data the Owner determines necessary according to the type of User and Plan requested.

9.2 Identity verification

The Owner may implement identity verification mechanisms, including, by way of illustration but not limitation, email confirmation, telephone verification by message or call, and documentary validation, without such mechanisms constituting an absolute guarantee of the User's identity, the latter bearing final responsibility for the truthfulness of their data pursuant to Chapter 8.

9.3 Uniqueness of the Account

Each User may hold a single main Account per role type, unless the nature of the engaged Plan or an express authorization from the Owner permits the existence of sub-accounts or linked accounts within the same organization or Company.

9.4 Rejection of registration

The Owner reserves the right to reject any registration request, without need to state cause, when there are reasonable indications of: (i) false or incomplete information; (ii) identity impersonation; (iii) intent to use contrary to the Platform's purpose or to the Acceptable Use Policy; or (iv) a history of prior non-compliance with these Terms by the applicant.

9.5 Registration confirmation

Registration shall be deemed perfected at the moment the Owner confirms, by any electronic means, the activation of the Account, from which moment the User may access the features corresponding to the engaged Plan.

9.6 Consequences of non-compliance

The applicant's omission or refusal to provide the information or documentation reasonably requested by the Owner for verification purposes shall entitle the latter to deny, suspend or void the registration process, without any liability on its part.

Chapter 10. Account Types and Roles

10.1 Account Classification

The Platform recognizes, by way of illustration but not limitation, the following types of Account, whose specific features shall depend on the Plan engaged pursuant to Chapter 7: (i) independent Real-Estate Agent Account; (ii) Company or Real-Estate Agency Account, with the ability to manage multiple collaborator sub-accounts; (iii) Real-Estate Developer Account; and (iv) Administrator Account, reserved for the Owner's internal management purposes.

10.2 Hierarchy and management of sub-accounts

When a Company or Agency Account manages Collaborator sub-accounts, the holder of the main Account shall be responsible before the Owner for the use those Collaborators make of the Platform, without prejudice to the individual liability each Collaborator assumes toward third parties for their own actions.

10.3 Roles and permission levels

Within each Company Account, the holder may assign differentiated roles and permission levels to their Collaborators (such as read-only access, operational access or administrative access), the correct assignment and timely revocation of those permissions being the sole responsibility of the Account holder.

10.4 Assignment and transfer of Accounts

Accounts are personal and non-transferable. The sale, assignment, lease or any form of transfer of an Account to a third party is expressly prohibited without the Owner's prior written authorization, save in cases of substitution of a legal entity's legal representative, duly accredited.

10.5 Trial or courtesy Accounts

At its discretion, the Owner may offer trial, demonstration or courtesy Accounts with limited features or for a determined time, which shall be governed by these Terms and by the additional specific conditions that, where applicable, are communicated at the time of their granting.

10.6 Consequences of non-compliance

Unauthorized transfer of an Account, or use of an Account by a person other than its registered holder without the due role assignment under this Chapter, shall entitle the Owner to suspend the Account involved until the situation is clarified, without any liability on its part for the effects of such suspension.

Chapter 11. Account Security

11.1 Obligation to safeguard credentials

The User is solely responsible for maintaining the confidentiality of their access credentials (username, password and, where applicable, additional authentication mechanisms), as well as for all activity carried out through their Account, regardless of whether that activity was performed personally or by a third party to whom the User, negligently or not, facilitated access to their credentials.

11.2 Additional authentication

The Owner may implement, and in certain Plans or features require, multi-factor authentication mechanisms or other additional security protocols, whose activation or deactivation by the User, when optional, shall be under their exclusive responsibility.

11.3 Incident notification

The User undertakes to notify the Owner, immediately and through the channels it designates, of any suspicion or confirmation of unauthorized access, loss, theft or compromise of their credentials, so that the Owner can take reasonable containment measures, including temporary blocking of the Account.

11.4 Owner's security measures

The Owner shall implement reasonable administrative, technical and physical measures, consistent with industry standards, to protect the Platform's infrastructure and Users' Accounts, without this constituting an absolute guarantee of inviolability against cyberattacks, whose nature is evolutionary and entirely unforeseeable.

11.5 Limitation of liability for unauthorized access

Without prejudice to the detailed development of liability in the corresponding title, the Owner shall not be liable for damages deriving from unauthorized access to an Account when such access is a consequence of the User's negligence in safeguarding their credentials, or of non-compliance with the immediate-notification obligation provided in section 11.3.

11.6 Consequences of non-compliance

Non-compliance with the security obligations provided in this Chapter may result in the Owner preventively suspending the affected Account, without such suspension generating any liability for the Owner, until the cause that originated it is remedied.

TITLE V. INTELLECTUAL PROPERTY

Chapter 12. Ownership of the Platform's Intellectual Property

12.1 Legal objective

To place on unequivocal record the exclusive ownership the Owner holds over the Platform and all its technological components, in order to protect those assets against any act of misappropriation, exploitation or unauthorized disclosure by Users or Third Parties.

12.2 Scope of ownership

The Owner is and shall remain the exclusive owner of all present and future intellectual and industrial property rights over the Platform, including by way of illustration but not limitation: the source and object code of the software; the databases and their structure; the algorithms; the proprietary or adapted Artificial Intelligence models; the Artificial Intelligence Agents; the prompts, instructions and automation architectures developed by the Owner; the graphical user interfaces; the workflows; the Calculation Engine; the Market Indicators and their generation methodology; the technical documentation; and any work, invention, design or technological development incorporated into the Platform, regardless of whether it is formally registered before a competent authority.

12.3 Legal basis

The protection referred to in this Chapter is governed by the Federal Copyright Law, the Industrial Property Law and other applicable provisions of the United Mexican States, as well as by the international intellectual-property treaties of which Mexico is a party, without prejudice to the additional protection that may correspond under the legislation of other jurisdictions in which the Platform comes to operate.

12.4 Presumption of non-assignment

No provision of these Terms shall be interpreted as an assignment, implied license, waiver or transfer of any intellectual-property right in favor of the User, other than the use license expressly limited in Chapter 13. Every right not expressly granted is understood to be reserved in favor of the Owner.

12.5 Developments deriving from the use of the Platform

Any improvement, customization, configuration, integration or derivative development generated as a consequence of the User's use of the Platform, when such development incorporates or depends on the technological components indicated in section 12.2, shall be the property of the Owner, save express written agreement to the contrary.

12.6 Consequences of non-compliance

Misappropriation, reproduction, distribution, reverse engineering or unauthorized exploitation of the elements indicated in this Chapter shall give rise to the corresponding civil and criminal actions under applicable legislation, without prejudice to the immediate termination of the responsible User's Account, pursuant to the Title on Termination.

Chapter 13. Use License Granted to the User

13.1 Nature of the license

The Owner grants the User a limited, personal, non-transferable, non-exclusive, revocable and non-sublicensable license to use the Platform, exclusively for the purposes and within the functional scope corresponding to the engaged Plan, during the validity of the respective Subscription.

13.2 Scope of the license

The granted license allows the User to access and use the Platform according to its ordinary functionality and the usage documentation published by the Owner, without such license implying any right to: (i) copy, modify or create derivative works of the software; (ii) decompile, disassemble or reverse engineer any technological component; (iii) extract, replicate or commercialize the underlying algorithms, Artificial Intelligence models or calculation methodologies; or (iv) use the Platform to develop a competing product or service.

13.3 Use of the Market Indicators by the User

The User may use the Market Indicators generated by the Platform exclusively for their own professional management or for direct presentation to their clients in the context of a specific real-estate advisory engagement, with mass download, resale, redistribution or making them available to third parties outside that advisory relationship being prohibited, save in the cases and under the mechanisms expressly enabled by the Platform (for example, downloading an individual return-on-investment result in PDF format, when that feature is available under the engaged Plan).

13.4 Validity and revocation of the license

The use license shall remain in force while the User's active Subscription subsists and they comply with these Terms. The Owner may revoke that license immediately in the cases provided in the Title on Termination, without this generating any right to indemnification in favor of the User, without prejudice to the refunds that, where applicable, proceed under the payments and refunds policy.

13.5 Updates and evolution of the Platform

The granted license automatically extends to the updates, improvements or new versions of the Platform the Owner makes available to the User within the scope of their Plan, without this requiring acceptance of an additional license, unless those updates incorporate modules subject to different specific conditions.

13.6 Consequences of non-compliance

Any use of the Platform outside the scope of the license granted in this Chapter shall be considered a violation of the Owner's intellectual-property rights, entitling it to revoke the license immediately and exercise the corresponding legal actions.

Chapter 14. Intellectual Property over Artificial Intelligence, Algorithms and Prompts

14.1 Legal objective

To specify the intellectual-property regime applicable specifically to the Platform's Artificial Intelligence components, given their strategic relevance and the need for reinforced protection against the growing sophistication of this type of technological asset.

14.2 Ownership of Artificial Intelligence models and agents

The Artificial Intelligence models, Artificial Intelligence Agents, automation architectures, system prompts, behavior instructions and decision flows developed, configured or adapted by the Owner constitute industrial secrets and/or protected works, according to their nature, their ownership being exclusive to the Owner, regardless of whether those models rest, wholly or partially, on technology of third-party Artificial Intelligence infrastructure providers.

14.3 Distinction regarding third-party technology

When the Platform uses, as underlying infrastructure, language models or Artificial Intelligence services provided by Third Parties, the Owner acknowledges the intellectual-property rights those Third Parties retain over their base technology, the Owner's ownership being limited to the configuration, adaptation, prompts, workflows, proprietary training data and other specific developments the Owner incorporates upon that base infrastructure.

14.4 Confidentiality of prompts and architectures

The prompts, system instructions and automation architectures developed by the Owner have the character of confidential information and industrial secrets under the Industrial Property Law, the User being obliged not to attempt to extract, infer, reconstruct or disclose such information through the use of the Platform, including through manipulation techniques over the Artificial Intelligence Agents' responses.

14.5 Outputs generated by the Artificial Intelligence Agents

The responses, texts, analyses or interpretations generated by the Artificial Intelligence Agents in the framework of an interaction with the User may be used by the latter exclusively for the purposes of their own professional activity within the context of the Platform, without such use conferring any intellectual-property right over the technology, methodology or architecture that generated that output.

14.6 Limitation of liability due to probabilistic nature

The User acknowledges and accepts that the Artificial Intelligence Agents operate, in certain components, under probabilistic models, so their responses may contain inaccuracies, the User having to exercise their own professional judgment when using those responses, without prejudice to the deterministic financial calculations being governed exclusively by the Calculation Engine pursuant to section 5.3.

14.7 Consequences of non-compliance

Any attempt to extract, reverse engineer, replicate or unauthorizedly disclose the Owner's Artificial Intelligence prompts, models or architectures shall be considered a material violation of these Terms and of industrial-secrets legislation, giving rise to immediate termination of the Account and the corresponding legal actions.

Chapter 15. Trademarks, Trade Names and Distinctive Signs

15.1 Ownership of distinctive signs

The name "Ancuria™", its logo, color combination, trade names and other distinctive signs associated with the Platform are the exclusive property of the Owner, the "Ancuria™" trademark being in registration proceedings before the Mexican Institute of Industrial Property (IMPI), with an application filed in July 2026.

15.2 Prohibition of unauthorized use

The User is expressly prohibited from using, reproducing, imitating or registering the Owner's distinctive signs, or any sign confusingly similar to them, without the Owner's prior written authorization, including their use in the User's own promotional materials, save in the cases expressly authorized pursuant to the following section.

15.3 Authorized use for identification purposes

The User may refer to their use of the Ancuria Platform for merely descriptive or identification purposes (for example, stating that they are part of the network of agents subscribed to Ancuria), provided such use does not generate confusion regarding an affiliation, partnership or representation relationship other than the one actually existing, and without such descriptive use constituting a trademark license.

15.4 Consequences of non-compliance

Unauthorized use of the Owner's distinctive signs shall entitle it to demand immediate cessation of such use and exercise the corresponding actions under the Industrial Property Law, without prejudice to termination of the infringing User's Account.

Chapter 16. User Content and License in Favor of the Owner

16.1 Ownership of User Content

The User retains ownership of the intellectual-property rights over the User Content they generate, upload or publish on the Platform (including property descriptions, their own photographs, their own marketing materials and other original content), as long as such content does not infringe Third Parties' rights.

16.2 License granted to the Owner

The User grants the Owner a worldwide, non-exclusive, royalty-free license, transferable within the Owner's corporate group and sublicensable to its technology providers, to store, reproduce, process, display, distribute and use the User Content, exclusively to the extent necessary to: (i) operate and provide the Service; (ii) display such content within the Marketplace or corresponding modules according to the privacy settings chosen by the User; (iii) generate Market Indicators in aggregated and anonymized form; and (iv) improve the Platform, including the training or tuning of internal models, always subject to the provisions of the Title on Personal Data Protection to be developed in later deliverables.

16.3 User's declaration and warranty regarding their Content

The User declares and warrants that they hold the necessary rights over the User Content they publish, or that they have the corresponding authorizations for its publication (including, where applicable, authorization from third-party owners regarding properties or from persons appearing in photographic materials), assuming exclusive responsibility for any infringement of Third Parties' intellectual-property or image rights.

16.4 Indemnification

The User undertakes to hold the Owner harmless against any claim, sanction or proceeding deriving from an infringement of Third Parties' rights in connection with User Content published on the Platform.

16.5 Removal of infringing content

The Owner may remove, suspend or restrict access to any User Content regarding which it receives a well-founded notice of infringement of Third Parties' rights, or which it reasonably identifies as infringing, without this generating liability on its part toward the User who published it.

16.6 Consequences of non-compliance

Repeated publication of User Content infringing Third Parties' rights may give rise to suspension or termination of the responsible User's Account, pursuant to the Title on Termination.

Chapter 17. Feedback and Suggestions

17.1 Nature of feedback

When the User provides comments, suggestions, ideas or error reports regarding the Platform ("Feedback"), such Feedback shall be deemed given voluntarily and free of charge.

17.2 Assignment of Feedback

The User assigns to the Owner, free of charge, irrevocably and without temporal or territorial limitation, every right they may hold over the Feedback provided, the Owner being able to incorporate, implement or use it freely in the Platform, without any obligation of attribution, compensation or acknowledgment in favor of the User who provided it.

17.3 Consequences of non-compliance

No sanctioning consequences apply to the User deriving from this Chapter, it being understood that Feedback is strictly voluntary in nature.

Chapter 18. Intellectual Property Restrictions and Prohibitions

18.1 Prohibited conduct

The User is expressly prohibited from: (i) reverse engineering, decompiling or disassembling any component of the Platform; (ii) massively and automatically extracting (through "scraping" or other techniques) data, Market Indicators or Content from the Platform; (iii) using the Platform to train, tune or develop their own or third-party Artificial Intelligence models that compete with the Owner; (iv) removing, altering or hiding intellectual-property notices incorporated into the Platform; and (v) creating products or services substantially similar to the Platform based on knowledge obtained through its use.

18.2 Exception for mandatory legal provision

The restrictions provided in this Chapter are understood without prejudice to the non-waivable rights that, where applicable, applicable legislation on software interoperability recognizes in favor of the User, when such legislation is mandatorily applicable and cannot be validly limited by contract.

18.3 Consequences of non-compliance

Carrying out any of the prohibited conduct in this Chapter shall constitute a material violation of these Terms, entitling the Owner to the immediate, liability-free termination of the infringing User's Account, as well as to exercise the corresponding civil and criminal actions, including the claim for damages caused.

TITLE VI. PERSONAL DATA PROTECTION

Chapter 19. General Principles of Personal Data Protection

19.1 Legal objective

To establish the general framework governing the processing of Personal Data by the Owner in its capacity as data controller, in compliance with the Federal Law on the Protection of Personal Data Held by Private Parties (hereinafter, the "Law") and its Regulations, without prejudice to such processing being detailed specifically in the Full Privacy Notice the Owner shall keep published and updated independently of these Terms.

19.2 Status of data controller

For purposes of the Law, the Owner is the data controller of the Personal Data it collects directly from Users through the Platform, while those technology infrastructure providers processing Personal Data exclusively on the Owner's account and instruction shall have the status of data processors, pursuant to Chapter 22.

19.3 Guiding principles

The processing of Personal Data by the Owner shall invariably be subject to the principles of lawfulness, consent, information, quality, purpose, loyalty, proportionality and accountability, provided in Article 6 of the Law.

19.4 Relationship with the Privacy Notice

This Title establishes the general contractual data-protection framework applicable to the relationship between the User and the Owner. The itemized detail of purposes, data processed, transfers and rights-exercise mechanisms shall be contained in the Full Privacy Notice, a document deemed incorporated into these Terms by reference, which shall prevail over this Title in case of specific discrepancy on data protection matters.

19.5 Consequences of non-compliance

The Owner's non-compliance with the principles provided in this Chapter may give rise to the administrative sanctions provided in the Law, without prejudice to the affected User's right to go before the National Institute for Transparency, Access to Information and Personal Data Protection, or before the body that in due time proves competent.

Chapter 20. Personal Data Collected and Purposes

20.1 Categories of Personal Data collected

The Owner may collect, by way of illustration but not limitation, the following categories of Personal Data: (i) identification and contact data (name, email, telephone, professional domicile); (ii) invoicing and payment data, processed through the corresponding payment gateway; (iii) professional accreditation data (trade-association memberships, licenses); (iv) usage and browsing data within the Platform; and (v) data derived from interactions with the Artificial Intelligence Agents. The Owner does not collect sensitive personal data under the Law, save with additional express consent.

20.2 Primary purposes

The Personal Data collected shall be used for the purposes necessary and directly related to the provision of the Service, including: creation and management of the Account; operation of the engaged modules; payment processing; handling of requests and clarifications; compliance with legal, tax and contractual obligations; and communication of operational aspects of the Platform, including notifications pursuant to Chapter 4.

20.3 Secondary purposes

Additionally, unless the User expresses their refusal pursuant to the mechanism provided in the Full Privacy Notice, the Owner may use the Personal Data for secondary purposes such as: sending marketing communications about new modules or Plans; generating internal statistics; and continuously improving the user experience within the Platform.

20.4 Third-party data provided by the User

When the User provides the Platform with third parties' Personal Data (for example, a prospect's or client's contact data in the CRM module), the User shall be responsible, in their own capacity as controller regarding those third parties, for having obtained the corresponding consent and complying with their own obligations under the Law, the Owner acting, regarding such data, exclusively as data processor on the User's behalf.

20.5 Consequences of non-compliance

Use of Personal Data for purposes other than those informed to the User, without the corresponding consent, shall constitute a breach of the Law, with the administrative and, where applicable, criminal consequences it provides.

Chapter 21. Consent

21.1 General rule

Save the exceptions provided in Article 10 of the Law, the processing of the User's Personal Data shall require their consent, which shall be deemed granted through the acceptance mechanism provided in Chapter 3, regarding the primary purposes indicated in the Full Privacy Notice.

21.2 Tacit and express consent

Under the Law, for purposes not requiring express consent, consent shall be deemed granted when, the Full Privacy Notice having been made available to the User, they do not express opposition. For the processing of financial or asset-related data, or when the Law requires express consent, the Owner shall implement the corresponding reinforced collection mechanism (such as a specific check box).

21.3 Revocation of consent

The User may revoke at any time the consent granted for the processing of their Personal Data, through the mechanisms indicated in the Full Privacy Notice, without such revocation having retroactive effects, and the User acknowledging that total revocation of consent regarding primary purposes may imply the impossibility of continuing to provide the Service.

21.4 Consequences of non-compliance

The Owner's failure to timely attend to a request for revocation of consent shall give rise to the sanctions provided in the Law, without prejudice to the User's right to go before the competent authority.

Chapter 22. Transfers and Remissions of Personal Data

22.1 Conceptual distinction

For purposes of this Chapter, "remission" shall be understood as the processing of Personal Data carried out by a data processor on the Owner's account and instruction, and "transfer" as the communication of Personal Data to a third party other than the Owner that becomes, regarding such data, an independent controller.

22.2 Remissions to data processors

The Owner may remit Personal Data to technology infrastructure providers (including, by way of illustration but not limitation, cloud computing services, authentication providers, messaging providers and Artificial Intelligence platform providers operating as data processors), who shall process such data exclusively according to the Owner's instructions and shall be contractually obliged to implement security measures equivalent to those required of the Owner itself.

22.3 Transfers to third-party controllers

The Owner shall only carry out transfers of Personal Data to third parties that become independent controllers when: (i) it has the User's consent, unless a legal exception applies; (ii) the transfer is necessary for compliance with a legal obligation; or (iii) the transfer is made between companies of the same corporate group operating under the same internal data protection processes and policies.

22.4 International transfers

In the event the Platform's technology infrastructure (including cloud computing or Artificial Intelligence service providers) is hosted outside the national territory, the Owner shall inform of that circumstance in the Full Privacy Notice, adopting reasonable contractual measures so that processing abroad is subject to protection standards comparable to those required by the Law.

22.5 Consequences of non-compliance

Carrying out unconsented transfers or transfers not covered by a legal exception shall constitute a material breach of the Law, with the administrative and criminal consequences it provides, without prejudice to the civil liability that may correspond.

Chapter 23. Use of Personal Data in Artificial Intelligence Processes

23.1 Legal objective

To establish a specific and transparent regime regarding the use of information associated with Personal Data in the operation, tuning or improvement processes of the Platform's Artificial Intelligence Agents, given the particular sensitivity of this type of processing.

23.2 Interactions with Artificial Intelligence Agents

The interactions the User or their end clients hold with the Platform's Artificial Intelligence Agents may be stored and processed for purposes of: (i) provision of the Service itself in real time; (ii) quality control and human oversight of the generated responses; (iii) security and prevention of misuse of the Platform; and (iv) general improvement of the Platform's models and flows, in the latter case preferably through the use of aggregated or anonymized information.

23.3 Anonymization and dissociation

When the Owner uses Artificial Intelligence Agent interactions for model improvement or training purposes, it shall employ, to the extent technically reasonable, anonymization or dissociation processes for Personal Data, so that the resulting information does not allow identifying, directly or indirectly, the individual holder of the data.

23.4 Automated decisions

The User acknowledges that certain Platform features (such as the Calculation Engine or the recommendation engines) generate results through automated or algorithmic processes. Such results are informational support for the professional decision of the User or their client, and do not constitute, by themselves, a legally or economically binding decision producing definitive effects on a person's legal sphere without human intervention, according to the general criteria applicable to automated decisions.

23.5 Data of Real-Estate Agents' end clients

When an end client interacts with an Artificial Intelligence Agent in the name or representation of a subscribed Real-Estate Agent (for example, in the autonomous customer-service module), the Real-Estate Agent shall be responsible for informing that end client about the use of Artificial Intelligence technology in the interaction, without prejudice to the information the Platform itself provides directly according to algorithmic transparency best practices.

23.6 Consequences of non-compliance

Use of Personal Data for the training or tuning of Artificial Intelligence models without observing the reasonably required anonymization or dissociation measures, or without due information to the User, shall constitute a breach of the lawfulness and purpose principles provided in the Law.

Chapter 24. ARCO Rights and Exercise Mechanisms

24.1 Recognized rights

The User, in their capacity as holder of Personal Data, may at any time exercise their rights of Access, Rectification, Cancellation and Objection ("ARCO Rights"), as well as the right to data portability, under the terms and limitations provided in the Law.

24.2 Exercise mechanism

The request for the exercise of ARCO Rights must be submitted through the email address legal@ancuria.com or the specific mechanism enabled for that purpose within the Platform, and must contain, at minimum, the elements provided in Article 29 of the Law.

24.3 Response period

The Owner shall respond to every ARCO Rights exercise request within twenty business days counted from receipt, that period being extendable on a single occasion for an equal period, when justified, pursuant to Article 32 of the Law.

24.4 Partial inadmissibility

The Owner may deny, totally or partially, the exercise of an ARCO Right in the cases provided in Article 34 of the Law, including when the cancellation of certain data is necessary for compliance with a legal obligation or for the defense of a right of the Owner itself.

24.5 Consequences of non-compliance

Failure to respond timely, or unjustified refusal to respond, to the exercise of ARCO Rights shall entitle the User to file the corresponding complaint or rights-protection proceeding before the competent authority.

Chapter 25. Security, Confidentiality and Retention Measures

25.1 Security measures

The Owner shall implement administrative, technical and physical security measures reasonable and proportional to the risk, pursuant to the Law and its Regulations, to protect Personal Data against damage, loss, alteration, destruction, unauthorized use, access or processing.

25.2 Notification of breaches

In the event a security breach occurs that significantly affects Users' property or moral rights, the Owner shall notify that breach to the affected User, without unjustified delay, through the registered contact means, informing of the nature of the incident, the compromised data and the applicable action recommendations.

25.3 Personnel confidentiality

The Owner shall impose confidentiality obligations on its personnel, collaborators and data processors who have access to Personal Data, which shall subsist even after the corresponding relationship has concluded.

25.4 Retention and blocking

Personal Data shall be retained for the time necessary to fulfill the informed purposes and the applicable legal, tax and accounting obligations, after which it shall be blocked and, subsequently, deleted or anonymized, pursuant to the blocking procedure provided in the Law.

25.5 Consequences of non-compliance

Non-compliance with the security and confidentiality obligations provided in this Chapter may give rise to the administrative and criminal sanctions provided in the Law, without prejudice to the corresponding civil liability.

TITLE VII. MARKETPLACE, CO-BROKERAGE AND INTERACTION BETWEEN USERS

Chapter 26. Nature of the Marketplace and Role of the Platform

26.1 Legal objective

To precisely delimit the exclusively technological and digital-intermediation role the Owner plays regarding the Marketplace module, in order to avoid any interpretation attributing to the Owner the status of party, guarantor or co-responsible party in the real-estate transactions managed through that module.

26.2 Functional definition of the Marketplace

The Marketplace is a technological discovery and matching module that allows Real-Estate Agents to publish their inventory, consult the inventory published by other Agents, and initiate communication with each other for professional collaboration purposes, including, where applicable, co-brokerage schemes.

26.3 Exclusively facilitating role

The Owner does not intervene in, participate in, mediate, negotiate, document or validate the co-brokerage, shared-commission or any other commercial agreements Real-Estate Agents enter into with each other as a consequence of using the Marketplace. The Platform's function ends at making the discovery and contact technology tools available to Agents; the negotiation, formalization and performance of those agreements is the exclusive responsibility of the Agents involved.

26.4 No substitution of the sector's own legal instruments

Use of the Marketplace does not substitute, and must in no case be interpreted as a substitute for, the professional-services agreements, collaboration agreements, letters of intent, sale authorizations or any other legal instrument that, under applicable real-estate practice and regulation, Real-Estate Agents and their clients must execute outside the Platform.

26.5 Consequences of non-compliance

Use of the Marketplace for purposes other than legitimate professional collaboration between Agents (including its use for acts of unfair competition, improper capture of another Agent's clients outside a collaboration agreement, or dissemination of inventory without authorization from its legitimate owner) shall entitle the Owner to suspend the infringing User's access to this specific module.

Chapter 27. Publication of Properties and Inventory

27.1 Responsibility for published information

The Real-Estate Agent who publishes a property on the Marketplace is solely responsible for the truthfulness, accuracy, currency and lawfulness of the published information, including the property's physical characteristics, legal status, price, availability and the Agent's right to promote it.

27.2 Prohibition of unauthorized listings

Publishing inventory for which the Agent lacks a current sale, lease or promotion authorization from the owner or from whoever may lawfully grant it is prohibited, as is duplicating listings of the same property by different Agents without a collaboration agreement between them.

27.2 Bis Claiming listings without an assigned agent

The Platform may make available to Real-Estate Agents a claiming mechanism for listings that lack an assigned agent. The Agent submitting a claim must state, under oath to tell the truth ("bajo protesta de decir verdad"), that they are the agent responsible for marketing the property object of the listing, or that they hold a current mandate or authorization from its owner or from whoever may lawfully grant it to market it, by expressly accepting the listing-ownership declaration the Owner makes available to them at that time, a record being kept of the date, the time and the version of the text accepted.

Every claim shall be subject to review and authorization by the Owner or the administrator designated by the Owner, who may approve or reject it at their discretion, acting as a second verification filter. No claim shall take effect without such express authorization. Once a claim is authorized, the listing shall be transferred to the claiming Agent, who shall assume with respect to it all obligations provided for in this Chapter, and a record shall remain of the claim, of the accepted declaration and of its version. The transfer of a listing through this route constitutes no determination by the Owner on the ownership of the property or on exclusivity rights between Agents; conflicts between Agents regarding a claimed property shall be resolved exclusively between them, pursuant to the provisions of Chapter 28.

Submitting a claim with a false declaration shall be equated to the publication of unauthorized inventory provided for in clause 27.2, and shall entitle the Owner to revert the claim, remove the listing and suspend or terminate the responsible Agent’s Account pursuant to clause 27.6 and the Title on Termination, without prejudice to the civil or criminal liability they may have toward affected third parties.

27.3 Graphic and documentary content

The Real-Estate Agent declares holding the necessary rights over the photographs, floor plans, virtual tours and other graphic or documentary material incorporated into their listings, the provisions of Chapter 16 regarding the license granted to the Owner over such User Content being applicable.

27.4 Updating and withdrawing listings

The Real-Estate Agent undertakes to keep the status of their listings up to date (available, in process, sold, rented, withdrawn), in order to preserve the reliability of the inventory displayed on the Marketplace, the Owner being able to implement automated mechanisms for periodic verification of validity.

27.5 Review and removal authority

The Owner may review, and where appropriate remove or suspend, any listing that fails to comply with this Chapter, that is misleading content, or regarding which it receives a well-founded notice from an affected third party, without this generating liability for the Owner toward the Agent who published the removed content.

27.6 Consequences of non-compliance

Repeated publication of unauthorized inventory or false information shall constitute grounds for suspension or termination of the responsible Real-Estate Agent's Account, pursuant to the Title on Termination, without prejudice to the civil or criminal liability they may have toward affected third parties.

Chapter 28. Collaboration and Co-Brokerage between Agents

28.1 Nature of the facilitated collaboration

When two or more Real-Estate Agents decide to collaborate on a specific transaction following contact initiated on the Marketplace (including co-brokerage or shared-commission schemes), such collaboration constitutes an autonomous agreement between those Agents, foreign to the Owner, who shall under no circumstances be a party to it.

28.2 Formalization outside the Platform

It is exclusively for the Real-Estate Agents involved to formalize, by the means they deem appropriate and according to sector practice, the terms of their collaboration, including commission distribution, respective responsibilities toward the client and other applicable conditions, those agreements being subject, as pertinent, to the terms and conditions of service and other contractual documentation the Agents themselves determine to adopt among themselves.

28.3 Absence of guarantee regarding the counterparty

The Owner does not guarantee the professional suitability, solvency, performance or good faith of any Real-Estate Agent with whom another User decides to collaborate through the Marketplace, it being each Agent's responsibility to conduct their own due diligence regarding their collaboration counterparties.

28.4 Collaboration support tools

The Platform may offer technology tools supporting collaboration between Agents (such as internal messaging, agreement records or reminders), without the existence of those tools modifying in any way the Owner's exclusively facilitating role described in Chapter 26.

Among those tools may be included the listing-claiming mechanism provided for in clause 27.2 Bis, shareable links identifying the Agent who shares, share notices to the listing’s Agent, and opening statistics. Those tools serve informational and professional-attribution purposes; they in no case constitute assignment of clients by the Owner, nor do they modify the rule that the client belongs to the Agent who brought them, according to sector practice and ethics.

28.5 Consequences of non-compliance

Conflicts arising between Real-Estate Agents by reason of a collaboration or co-brokerage agreement formalized outside the Platform shall be resolved exclusively between those Agents, without the Owner assuming any obligation of mediation, arbitration or economic liability deriving from that conflict, without prejudice to the Owner being able to suspend Marketplace access for an Agent about whom it receives multiple well-founded reports of breach of collaboration agreements.

Chapter 29. Exclusion of Liability Regarding Real-Estate Transactions

29.1 General delimitation

Without prejudice to the comprehensive development of limitation of liability in the corresponding Title, it is specified from this moment that the Owner shall not be liable, under any circumstance, for: (i) breach of contractual obligations between Real-Estate Agents and their clients; (ii) hidden defects, physical or legal defects of the published properties; (iii) the result, success or failure of a purchase-sale, lease or co-brokerage transaction; (iv) one Agent's breach toward another in a collaboration agreement; and (v) any property damage deriving from reliance placed on information published by a third party on the Marketplace.

29.2 Role of neutral technology intermediary

Regarding the content published by Users on the Marketplace, the Owner acts in a role comparable to that of a neutral technology intermediary, lacking the obligation of prior and exhaustive verification of all published content, without prejudice to its posterior review authority pursuant to section 27.5.

29.3 Due diligence recommendation

The Owner recommends that every User, prior to executing any real-estate transaction deriving from the use of the Marketplace, carry out their own due diligence regarding the counterparty, the property and the corresponding legal documentation, including, where pertinent, advice from a public notary and other specialized professionals.

29.4 Consequences of non-compliance

This delimitation of liability is of immediate application and requires no additional act for its enforceability, without prejudice to it being developed more fully, including the applicable quantitative limits, in the Title on Liability of later deliverables.

Chapter 30. Conduct between Users

30.1 Standard of professional conduct

Every User undertakes to interact with other Users within the Platform in adherence to the principles of good faith, professional ethics and respect, refraining from engaging in harassment, discrimination, unfair competition, defamation or any other conduct contrary to the applicable regulations or the Owner's Acceptable Use Policy.

30.2 Reporting mechanism

The Platform shall make available to Users a mechanism to report improper conduct by other Users, which shall be handled by the Owner under an internal review procedure, without such procedure constituting a formal mediation mechanism for commercial disputes between Agents.

30.3 Owner's disciplinary authority

Upon a well-founded report of improper conduct, the Owner may, by way of illustration but not limitation: (i) issue a warning to the reported User; (ii) temporarily suspend their access to certain modules, including the Marketplace; or (iii) proceed to terminate their Account, according to the severity of the conduct and the provisions of the Title on Termination.

30.4 Consequences of non-compliance

Recidivism in reported and well-founded improper conduct shall be considered a material breach of these Terms, entitling the Owner to the definitive termination of the responsible User's Account.

TITLE VIII. PAYMENTS, SUBSCRIPTIONS, CANCELLATIONS AND REFUNDS

Chapter 31. Plan Prices and Validity

31.1 Legal objective

To clearly establish the economic conditions applicable to each Plan, in compliance with the prior-information and transparency duty required by the consumer protection legislation applicable to adhesion contracts.

31.2 Current prices

As of the date of this document, the prices of the Ancuria Plans, expressed in Mexican pesos and including Value Added Tax, are as follows: (i) Basic Plan: free of charge; (ii) Assistant Plan: $249.00 (two hundred forty-nine pesos 00/100 M.N.) per month, VAT included; (iii) Closing Plan: $449.00 (four hundred forty-nine pesos 00/100 M.N.) per month, VAT included; and (iv) Intelligence Plan: $699.00 (six hundred ninety-nine pesos 00/100 M.N.) per month, VAT included. Those prices correspond to the tiered and cumulative consideration described in Chapter 7.

31.3 Price changes

The Owner may modify the prices of the Plans at any time, such changes taking effect only from the billing cycle following the corresponding notification, pursuant to the mechanism provided in Chapter 4, without the price change retroactively affecting a period already paid by the User.

31.4 Promotional prices

The Owner may offer promotional prices, discounts for advance annual payment, or special conditions for certain segments of Users (such as referral programs or trade-association alliances), which shall be governed by the specific conditions communicated at the time of their offer, and which shall not generate any right to retroactive application or automatic extension once the validity of the promotion has concluded.

31.5 Additional taxes

The prices indicated in section 31.2 include the Value Added Tax applicable in the national territory. Any additional tax, tariff or contribution that applies by reason of the User's location in a different jurisdiction shall be the exclusive responsibility of the latter, unless the Owner determines to incorporate it directly into the price published for that jurisdiction.

31.6 Consequences of non-compliance

Failure to timely communicate a price change pursuant to section 31.3 shall result in that change not being enforceable against the affected User until the billing cycle following its effective notification.

Chapter 32. Billing Cycle and Payment Methods

32.1 Periodicity

Unless the User engages an annual payment modality under a current promotion, the Subscription shall be billed monthly, the corresponding amount being charged on the same date of each month on which the initial engagement of the Plan was perfected, or on the immediately following business day when that date does not exist in the corresponding month.

32.2 Accepted payment methods

Payment of the Subscription shall be made through the electronic means the Owner enables through its payment services provider (payment gateway), including, by way of illustration but not limitation, credit or debit cards and other means that provider offers.

32.3 Processing of payment data

The Owner does not directly store the User's complete payment-instrument data, such storage and processing being the responsibility of the corresponding payment gateway provider, which acts as data processor or as an independent controller according to its own policies, which shall be made available to the User at the time of engagement.

32.4 Tax receipts

The Owner shall issue the Digital Tax Receipt over the Internet (CFDI) corresponding to each payment made, provided the User timely provides the tax data necessary for its issuance, pursuant to applicable tax legislation.

32.5 Billing errors

If the User identifies an improper or erroneous charge, they must notify the Owner within the [POR DEFINIR] calendar days following the date of the charge, so that the Owner can carry out the corresponding investigation and, where applicable, correction.

32.6 Consequences of non-compliance

Failure to timely pay the Subscription shall be governed by the provisions of Chapter 37 of this Title.

Chapter 33. Automatic Renewal

33.1 Automatic renewal mechanism

Every Subscription shall renew automatically at the conclusion of each billing period, for a period equal to the initially engaged one, and at the price in force at that time pursuant to Chapter 31, unless the User has cancelled their Subscription pursuant to Chapter 35 before the renewal date.

33.2 Prior notice of renewal

When consumer protection legislation so requires, or as a transparency best practice, the Owner may notify the User, with reasonable anticipation, of the proximity of the automatic renewal of their Subscription, without the absence of such notice, when not legally required, affecting the validity of the renewal.

33.3 Express authorization of recurring charges

By engaging any paid Plan, the User expressly authorizes the Owner, through its payment provider, to make the recurring charges corresponding to each billing cycle, as long as the Subscription remains active.

33.4 Consequences of non-compliance

Lack of sufficient funds or invalidity of the registered payment instrument at the time of automatic renewal shall be governed by the provisions of Chapter 37 of this Title.

Chapter 34. Plan Changes (Upgrade and Downgrade)

34.1 Plan Upgrade

The User may, at any time, engage a higher-level Plan than the one they have, such change taking effect immediately, and the consideration for the current period being adjusted proportionally (proration), according to the calculation methodology the Owner has implemented on the Platform.

34.2 Plan Downgrade

The User may request a downgrade to a lower-level Plan, such change taking effect from the start of the next billing cycle, the User retaining access to their current Plan's features until the conclusion of the already paid period.

34.3 Loss of features and associated data

The User acknowledges that, upon downgrading Plans, they may lose access to certain features, histories or data generated exclusively by the modules corresponding to the higher Plan, without this generating liability for the Owner, the latter being obliged, to the extent technically reasonable, to notify the User of that consequence before confirming the Plan change.

34.4 Consequences of non-compliance

No sanctioning consequences apply to the User deriving from the good-faith exercise of their right to change Plans under this Chapter.

Chapter 35. Subscription Cancellation

35.1 Right of cancellation

The User may cancel their Subscription at any time, through the mechanisms the Platform enables for that purpose, without need to state cause.

35.2 Effects of cancellation

Cancellation shall take effect at the conclusion of the current billing period, the User retaining access to their Plan's features until that date, without cancellation generating automatic refund of the amounts already paid for the current period, save as provided in Chapter 36.

35.3 Data retention following cancellation

Upon conclusion of the Subscription's validity, the Owner shall retain the User's data and information for the period indicated in the Full Privacy Notice and in the corresponding Data Retention Policy, after which it shall proceed to block, delete or anonymize it, without prejudice to the User's right to request export of their information before that period, to the extent technically available.

35.4 Account reactivation

The User may request reactivation of a previously cancelled Subscription, subject to the availability of their historical data pursuant to the preceding section and to acceptance of the version of these Terms in force at the time of reactivation.

35.5 Consequences of non-compliance

No sanctioning consequences apply to the User deriving from the good-faith exercise of their right of cancellation under this Chapter.

Chapter 36. Refund Policy

36.1 General rule

Save as provided in the following sections, or in consumer protection legislation mandatorily applicable, payments made by way of Subscription are non-refundable, by virtue of the Service being made available to the User immediately from the start of the engaged period.

36.2 Exceptions to the general rule

A total or partial refund shall proceed in the following cases: (i) when there is a billing charge attributable to the Owner, duly substantiated pursuant to section 32.5; (ii) when the Owner unilaterally discontinues an already engaged and paid Plan without cause attributable to the User, regarding the proportionate part not enjoyed; and (iii) in the other cases the Owner expressly determines or that are enforceable under applicable consumer protection legislation.

36.3 Refund procedure

Refund requests must be submitted through the Owner's service channels, being resolved within a reasonable period not exceeding 5 (five) business days, and being credited, where applicable, to the same payment method used for the original charge.

36.4 Consequences of non-compliance

The Owner's unjustified refusal to proceed with a refund that is admissible under this Chapter shall entitle the User to exercise the corresponding actions before the Federal Consumer Protection Agency or before the competent judicial authority.

Chapter 37. Non-Payment and Suspension for Non-Payment

37.1 Non-payment

If an automatic renewal charge cannot be processed for reasons attributable to the User (insufficient funds, expired or rejected payment instrument, among others), the Owner may retry the charge according to its payment provider's operating policy, and shall notify the User of that situation through the registered contact means.

37.2 Grace period and collection

The Owner shall grant a grace period of 3 (three) calendar days, counted from the notification of non-payment, during which the User shall retain access to the Platform, so they can regularize their payment method. Once that grace period has elapsed without the corresponding payment being received, the Owner shall proceed to collection within the following 24 (twenty-four) hours. The paid Service shall remain in force until the last day of the calendar month in which said payment is effectively received, regardless of the exact date of payment within that month.

37.3 Suspension for non-payment

Once the grace period has elapsed without the payment being regularized, the Owner may suspend the User's access to the features corresponding to their Plan, and may downgrade the Account to the free Basic Plan while the non-payment subsists, without this constituting definitive termination of the Account.

37.4 Collections

The Owner reserves the right to manage collection of the amounts owed by the User through the legal means it deems pertinent, including the initiation of the judicial or extra-judicial collection actions that correspond under applicable legislation.

37.5 Consequences of non-compliance

Repeated non-payment, understood as that occurring in [POR DEFINIR] consecutive billing cycles, shall entitle the Owner to definitively terminate the User's Account, pursuant to the Title on Termination to be developed in the next deliverable, without prejudice to the collection actions corresponding regarding the amounts owed.

TITLE IX. LIMITATION OF LIABILITY, WARRANTIES AND DISCLAIMER REGARDING ARTIFICIAL INTELLIGENCE

Chapter 38. Exclusion of Warranties

38.1 Legal objective

To delimit the scope of the warranties the Owner grants regarding the Platform, it being understood that this is a constantly evolving technology product whose technical nature makes it impossible to guarantee operation absolutely free of errors.

38.2 Service provided "as is"

Save the express warranties indicated in these Terms, the Platform is provided in its current state of development ("as is") and according to its availability ("as available"), without warranties of any kind, whether express, implied or legal, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted availability.

38.3 Absence of warranty of commercial results

The Owner does not guarantee that use of the Platform will generate for the User a determined volume of closed transactions, income, commissions, prospects or any other commercial result, it being understood that such results depend on factors beyond the Owner's control, including the User's own professional performance and real-estate market conditions.

38.4 Mandatory legal exceptions

The provisions of this Chapter are understood without prejudice to those warranties that, under applicable consumer protection legislation, cannot be validly excluded or limited by contract, which shall remain fully in force to the extent such legislation is mandatorily applicable.

38.5 Consequences of non-compliance

This exclusion of warranties is of general and immediate application, without prejudice to the specific service-quality obligations that, where applicable, are agreed through a particular Service Level Agreement (SLA) for certain Plans or corporate clients.

Chapter 39. General Limitation of Liability

39.1 Exclusion of indirect damages

To the maximum extent permitted by applicable legislation, the Owner shall not be liable to the User for indirect, incidental, special, consequential or punitive damages, or for loss of profits, income, business opportunities, clientele or data, deriving from the use or inability to use the Platform, even if the Owner had been warned of the possibility of such damages.

39.2 Quantitative limit of liability

Without prejudice to the provisions of section 39.3, the Owner's total and cumulative liability toward a User, deriving from these Terms or the use of the Platform, for any cause, shall not exceed the amount effectively paid by that User to the Owner during the [POR DEFINIR] months immediately prior to the event giving rise to the claim.

39.3 Exceptions to the liability limit

The limit indicated in the preceding section shall not be applicable in cases of: (i) fraud or bad faith by the Owner; (ii) damages deriving from a breach of confidentiality or Personal Data protection obligations directly attributable to the Owner; and (iii) any other case regarding which applicable legislation expressly prohibits the limitation of liability.

39.4 Exclusive liability for third-party content

The Owner shall not be liable for User Content published by other Users, nor for the statements, promises or agreements Users enter into with each other, the provisions of Title VII regarding the Marketplace and co-brokerage applying specifically and in a reinforced manner.

39.5 Consequences of non-compliance

This limitation of liability constitutes an essential element of the economic relationship between the parties, the User acknowledging that the prices of the Plans pursuant to Chapter 31 have been determined considering said limitation.

Chapter 40. Specific Disclaimer on Artificial Intelligence Results and Market Indicators

40.1 Legal objective

To establish a reinforced and specific disclaimer regarding the results generated by the Platform's Artificial Intelligence components and Market Indicators, in view of the particular nature of that technology and its relevance for real-estate investment decision-making.

40.2 Informational, non-binding nature

Every Market Indicator, analysis, comparison, return-on-investment projection, capital-appreciation estimate, or any other result generated by the Platform's Calculation Engine or Artificial Intelligence Agents, is exclusively informational, indicative and supportive of professional decision-making, in no case constituting: (i) financial, tax, legal, accounting or personalized investment advice; (ii) a recommendation to buy, sell or invest; nor (iii) a guarantee, promise or certain projection of future performance, capital appreciation or economic result.

40.3 Dependence on market data

Market Indicators are generated from information collected from market sources, public sources and the Platform's own database, whose accuracy, currency and completeness, while subject to reasonable validation efforts by the Owner, cannot be absolutely guaranteed, by virtue of the dynamic and sometimes fragmented nature of the real-estate information available in the market.

40.4 Professional responsibility of the Real-Estate Agent toward their client

The Real-Estate Agent who uses the Market Indicators or the outputs of the Artificial Intelligence Agents in their interaction with an end client is solely responsible for contextualizing such information according to their own professional judgment and responsibility, and must in all cases communicate to their client the informational and non-binding character of such results pursuant to section 40.2.

40.5 Limitations inherent to language models

The User acknowledges that Artificial Intelligence Agents based on language models can, in exceptional cases, generate imprecise, incomplete responses or responses inconsistent with reality ("hallucinations"), particularly in those components of a conversational or interpretive nature, that eventuality being distinguished from the Calculation Engine's results, which operate under deterministic logic and are not subject to this type of imprecision.

40.6 Duty of human oversight

The Owner shall implement reasonable mechanisms of oversight, quality control and, where applicable, human review over the operation of the Artificial Intelligence Agents, without such mechanisms constituting a guarantee of absolute infallibility, it being for the User to report to the Owner any result they identify as manifestly erroneous, so that the latter can make the corresponding adjustments.

40.7 Exclusion of liability for third-party investment decisions

The Owner shall not be liable for the investment, purchase, sale or lease decisions that a Real-Estate Agent's end client adopts based on the information provided by the latter, even when such information derives from the Platform's Market Indicators or Artificial Intelligence Agents, it being understood that the real-estate advisory relationship is established between the Agent and their client, and not between the Owner and said end client.

40.8 Consequences of non-compliance

This disclaimer constitutes an essential condition for the operation of the Platform's Artificial Intelligence and Market Indicators modules. Any claim seeking to disregard the informational and non-binding character established here shall be resolved according to this Chapter and the Title on Dispute Resolution to be developed in later deliverables.

Chapter 41. Act of God and Force Majeure

41.1 Exclusion of liability for Force Majeure

Neither party shall be liable for the non-performance or delay in the performance of its obligations deriving from these Terms when such non-performance or delay is a consequence of an Act of God or Force Majeure event, including, by way of illustration but not limitation: widespread failures of internet infrastructure or cloud computing providers foreign to the Owner, natural disasters, acts of authority, pandemics, armed conflicts, cyberattacks by third parties not attributable to the Owner's negligence, and other unforeseeable or inevitable events beyond the parties' will.

41.2 Notification and mitigation obligation

The party affected by a Force Majeure event must notify that circumstance to the other party as soon as reasonably possible, and shall make commercially reasonable efforts to mitigate its effects and resume performance of its obligations in the shortest possible time.

41.3 Consequences of non-compliance

Invocation of a Force Majeure event does not exempt the affected party from obligations already accrued prior to the start of that event, nor from its notification obligation pursuant to the preceding section.

Chapter 42. Indemnification in Favor of the Owner

42.1 Indemnification obligation

The User undertakes to defend, indemnify and hold harmless the Owner, its administrators, employees, collaborators and providers, against any claim, demand, sanction, fine or expense (including reasonable legal fees) deriving from: (i) the User's non-compliance with these Terms; (ii) the User Content published on the Platform; (iii) the User's violation of Third Parties' rights; and (iv) the User's breach of obligations toward their own clients or collaboration counterparties.

42.2 Procedure

The Owner shall notify the User, as soon as reasonably possible, of any claim under which it intends to enforce the indemnification provided in this Chapter, the User being able to participate, at their own cost, in the corresponding defense, without this limiting the Owner's authority to take control of that defense when it deems it pertinent for the protection of its interests.

42.3 Consequences of non-compliance

The User's unjustified refusal to comply with the indemnification obligation provided in this Chapter shall entitle the Owner to exercise the corresponding legal collection and other actions, without prejudice to termination of the responsible User's Account.

TITLE X. TERMINATION, DISPUTE RESOLUTION AND FINAL PROVISIONS

Chapter 43. Termination by the User

43.1 Right of termination

The User may terminate their contractual relationship with the Owner at any time, by cancelling their Subscription pursuant to Chapter 35 and, where applicable, the express request for definitive account deletion through the channels the Platform enables for that purpose.

43.2 Survival of obligations

Termination by the User does not release them from compliance with obligations accrued prior to the termination date, including pending payment obligations, confidentiality, intellectual property and indemnification obligations, which shall survive pursuant to Chapter 48.

43.3 Consequences of non-compliance

No sanctioning consequences apply deriving from the good-faith exercise of the right of termination provided in this Chapter.

Chapter 44. Termination or Suspension by the Owner

44.1 Grounds for suspension

The Owner may suspend, temporarily and proportionally to the severity of the conduct, a User's access to the Platform or to certain modules, in the cases provided throughout these Terms, including by way of illustration but not limitation: non-payment (Chapter 37), publication of infringing content (Chapter 16), improper conduct between Users (Chapter 30), or reasonable indications of fraudulent use of the Account (Chapter 11).

44.2 Grounds for definitive termination

The Owner may definitively terminate, without liability, a User's Account, with prior notice when the nature of the non-compliance permits it, in the following cases: (i) material or repeated non-compliance with these Terms; (ii) falseness in the User's declarations pursuant to Chapter 8; (iii) violation of the Owner's intellectual-property rights pursuant to Title V; (iv) repeated non-payment pursuant to section 37.5; (v) use of the Platform for unlawful purposes; and (vi) any conduct that puts at risk the security, integrity or reputation of the Platform or of other Users.

44.3 Termination without cause for commercial convenience

Additionally, the Owner may discontinue provision of the Service to a User without stating cause, by prior notice with reasonable anticipation of not less than [POR DEFINIR] calendar days, in which case the refund of the proportionate, unenjoyed part of the Subscription shall proceed, pursuant to section 36.2, subsection (ii).

44.4 Immediate termination without prior notice

Regarding the cases provided in subsections (ii), (iii), (v) and (vi) of section 44.2, the Owner may proceed to immediate termination of the Account, without need for prior notice, given the material nature of such conduct.

44.5 Consequences of non-compliance

Termination of the Account pursuant to this Chapter does not release the User from the payment obligations pending as of the termination date, nor from the other obligations that, pursuant to Chapter 48, survive termination of the contractual relationship.

Chapter 45. Effects of Termination

45.1 Cessation of access

As of the effective date of termination, the User shall lose access to the Platform and all of its features, save for the data-export period that, where applicable, is granted pursuant to section 35.3.

45.2 Revocation of licenses

Termination of the contractual relationship shall imply automatic revocation of the use license granted to the User pursuant to Chapter 13, as well as of any other license granted under these Terms, only the license granted by the User to the Owner regarding the User Content surviving, to the extent necessary for compliance with legal, security or information-safekeeping purposes pursuant to Title VI.

45.3 Data processing following termination

Processing of the User's Personal Data following termination shall be governed by the provisions of Chapter 25 and the Full Privacy Notice, the Owner proceeding to block and, in due time, delete or anonymize such data pursuant to the applicable retention period.

45.4 Consequences of non-compliance

Unauthorized access to the Platform by a User whose Account has been terminated shall be considered unauthorized access to computer systems, with the legal consequences, including criminal ones, that such conduct could generate under applicable legislation.

Chapter 46. Applicable Legislation and Jurisdiction

46.1 Applicable legislation

These Terms are governed by and interpreted in accordance with the federal laws of the United Mexican States, without prejudice to the application of local regulations when they are mandatory for the User according to their domicile or activity.

46.2 Jurisdiction

For the interpretation and performance of these Terms, as well as for everything related to them, the parties submit to the jurisdiction of the competent courts of Bahía de Banderas, Nayarit, expressly waiving any other forum that, by reason of their present or future domicile, or for any other cause, could correspond to them.

46.3 Adaptability to other jurisdictions

In view of the Platform's possible expansion to other Latin American countries, the Owner may issue specific territorial versions of these Terms, adapted to applicable local legislation, without this affecting the validity of this version regarding Users domiciled in Mexico.

46.4 Consequences of non-compliance

This jurisdiction clause is of public order between the parties and may not be unilaterally modified by the User.

Chapter 47. Dispute Resolution

47.1 Prior negotiation

In any dispute deriving from these Terms, the parties undertake to attempt, in good faith, a directly negotiated solution, for a minimum period of [POR DEFINIR] calendar days counted from the written notification of the dispute, before going to the corresponding judicial or alternative forum.

47.2 Alternative dispute resolution mechanisms

Without prejudice to the provisions of Chapter 46, the Owner may offer, for certain categories of disputes or Users, a mediation or arbitration mechanism under the rules of a specialized institution, which, where applicable, shall be detailed in additional specific conditions to these Terms.

47.3 Proceedings before consumer protection and personal data authorities

The provisions of this Chapter are understood without prejudice to the User's non-waivable right, in their capacity as consumer, to go before the Federal Consumer Protection Agency, as well as their right, in their capacity as holder of Personal Data, to go before the National Institute for Transparency, Access to Information and Personal Data Protection or before the competent body.

47.4 Consequences of non-compliance

Non-compliance with the prior-negotiation obligation provided in section 47.1 shall not prevent access to the competent jurisdiction, but may be considered by the corresponding authority for purposes of the allocation of costs or expenses of the proceeding, where applicable legislation so permits.

Chapter 48. Final Provisions

48.1 Entire agreement

These Terms, together with the Full Privacy Notice and other documents incorporated by reference, constitute the entire agreement between the User and the Owner regarding their subject matter, and supersede any prior understanding, negotiation or agreement, oral or written, between the parties on the same subject matter.

48.2 Severability

Should any provision of these Terms be declared null, illegal or unenforceable by a competent authority, such declaration shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect, the affected provision being interpreted in the manner closest to the parties' original intent.

48.3 No waiver of rights

The Owner's failure to exercise, or delay in exercising, any right or power provided in these Terms shall not be interpreted as a waiver of that right or power, nor shall it affect its subsequent exercise.

48.4 Assignment

The User may not assign or transfer the rights or obligations deriving from these Terms without the Owner's prior written consent. The Owner may assign or transfer these Terms, totally or partially, in the context of a merger, acquisition, corporate restructuring or substantial sale of assets, without need for the User's prior consent, and must notify such assignment pursuant to Chapter 4.

48.5 Survival of obligations

The provisions regarding Intellectual Property (Title V), Personal Data Protection as pertinent (Title VI), Limitation of Liability, Warranties and Indemnification (Title IX), and Applicable Legislation and Jurisdiction (Chapter 46), shall survive termination of the contractual relationship between the User and the Owner, regardless of the cause giving rise to it.

48.6 Relationship between the parties

Nothing contained in these Terms shall be interpreted as constituting a partnership, joint venture, agency, employment or franchise relationship between the Owner and the User, both parties at all times acting as independent contractors.

48.7 Notices

Every notice to be given under these Terms shall be deemed validly made when carried out through the contact means registered by the User on the Platform, or to the Owner's legal email address indicated on the cover page of this document, as appropriate.

48.8 Governing language

If these Terms are translated into another language for territorial expansion or informational purposes, the Spanish (Mexico) version shall prevail for interpretation purposes in case of discrepancy, unless applicable local legislation expressly provides otherwise.

48.9 Headings

The headings of the Titles and Chapters of this document are included solely for organization and reference purposes, and have no effect on the substantive interpretation of their content.
